Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Syllabus ("Syllabus," "we," "us," or "our") governing your access to and use of the Syllabus platform, including all associated websites, applications, APIs, and services (collectively, the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 13 years of age to use the Service. If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By permitting a minor to use the Service, the parent or legal guardian assumes full responsibility for the minor's use.

2. Description of Service

Syllabus is an AI-powered language assessment practice platform. The Service provides users with practice tests across four skills — reading, listening, writing, and speaking — for standardized language examinations such as IELTS and TEF Canada. The Service uses artificial intelligence to generate estimated scores and provide feedback on user performance.

Syllabus is not an official test provider, certifying body, or authorized representative of any examination authority. The Service is designed solely as a practice and preparation tool. Scores and feedback generated by the Service are not official test results and carry no certification value. Syllabus is not affiliated with, endorsed by, or associated with IELTS, TEF Canada, or any other examination body.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Subscription Plans and Billing

Syllabus offers the following subscription tiers:

All paid subscriptions are billed through Stripe. By subscribing to a paid plan, you authorize Syllabus and its payment processor to charge the payment method on file in accordance with the billing cycle you select.

Auto-Renewal: Paid subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. We do not provide prorated refunds for unused portions of a billing cycle.

We reserve the right to modify pricing with at least 30 days' written notice. Price changes will apply to the next billing cycle following the notice period.

5. Acceptable Use

You agree to use the Service only for its intended purpose — language assessment practice and preparation. The following activities are strictly prohibited:

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account, at our sole discretion.

6. Intellectual Property

All test content, scoring algorithms, platform design, trademarks, and other materials provided through the Service are the exclusive property of Syllabus or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

Your Content: You retain ownership of all responses, written text, audio recordings, and other content you submit through the Service ("User Content"). By submitting User Content, you grant Syllabus a non-exclusive, worldwide, royalty-free license to process, analyze, and store your User Content for the purpose of providing the Service, generating scores and feedback, and improving our AI models and scoring accuracy.

Aggregated Data: We may use aggregated, anonymized, and de-identified data derived from User Content and platform usage to improve our scoring algorithms, develop new features, conduct research, and enhance the overall quality of the Service. Such aggregated data will not identify you personally.

7. AI-Generated Scores Disclaimer

This section is particularly important. Please read it carefully.

All scores, band estimates, skill assessments, and performance feedback provided by the Service are generated by artificial intelligence models and are labeled as "AI Estimates." These AI-generated scores:

Syllabus makes no representation or warranty that AI-generated scores will predict, match, or approximate your performance on any official language examination. You acknowledge and agree that any decisions you make based on AI-generated scores — including but not limited to decisions regarding immigration applications, academic enrollment, employment, or official test scheduling — are made at your own risk. Syllabus shall not be liable for any consequences arising from reliance on AI-generated scores.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

SYLLABUS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SCORES OR FEEDBACK GENERATED BY THE SERVICE WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYLLABUS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO SYLLABUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

9. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will cease immediately.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive activity, or if required to do so by law.

Data Export: Following termination, your data will remain available for export for a period of thirty (30) days. After this period, we may permanently delete your account data in accordance with our Privacy Policy. It is your responsibility to export any data you wish to retain before the end of this 30-day period.

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and, where practicable, by sending a notification to the email address associated with your account at least thirty (30) days before the changes take effect.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
